5. Acceptable Use Policy

When using MsgFlow, you agree NOT to:

  • Violate intellectual property rights

6. Intellectual Property Rights

6.1 MsgFlow's Rights

MsgFlow and its content (including but not limited to software, designs, logos, trademarks, and documentation) are owned by us or our licensors and protected by intellectual property laws. These Terms do not grant you any ownership rights in MsgFlow.

6.2 Your Content

You retain ownership of all content you create or manage through MsgFlow. By using our service, you grant us a limited, worldwide, non-exclusive license to:

  • Store, process, and display your content as necessary to provide the service
  • Create backups and derivative works for operational purposes
  • Use anonymized, aggregated data for analytics and service improvements

This license terminates when you delete your content or account, except for content retained in backups during our normal retention period.

7.2 Free Trial

  • New customers receive a 2-week free trial of the Pro Plan
  • Payment information is required to start the trial
  • You will not be charged during the trial period
  • After the trial, you will be automatically charged the monthly subscription fee unless you cancel before the trial ends
  • Free trials are limited to one per customer

7.3 Billing and Payments

  • Billing Cycle: Subscription fees are billed monthly in advance
  • Payment Processor: All payments are processed securely by Stripe (PCI DSS Level 1 certified)
  • Automatic Renewal: Subscriptions automatically renew each month unless cancelled
  • Payment Authorization: By subscribing, you authorize us to charge your payment method automatically each billing cycle
  • Failed Payments: If a payment fails, we will attempt to retry. Continued payment failures may result in service suspension
  • Payment Methods: We accept credit cards, debit cards, and other methods supported by Stripe

7.4 Price Changes

We may change subscription prices from time to time:

  • We will provide at least 30 days' notice before any price increase
  • Price changes do not affect your current billing cycle

7.5 Cancellation and Refunds (UK Consumer Rights)

Important: Under the UK Consumer Rights Act 2015 and Consumer Contracts Regulations 2013, you have a 14-day cooling-off period for online purchases of digital services.

  • 14-Day Cooling-Off Period: UK consumers have 14 days from the date of purchase to cancel and receive a full refund
  • Waiver of Cooling-Off Period: By using MsgFlow during the 14-day period, you expressly agree to waive your cooling-off rights for the portion of the service already provided

  • Cancellation Effect: Cancellation takes effect at the end of your current billing period. You will retain access until that date
  • No Pro-Rata Refunds: We do not offer pro-rata refunds for partial months, except as required by law or during the cooling-off period
  • Free Trial Cancellation: You may cancel during the free trial period without charge

7.6 Taxes

  • You are responsible for all applicable taxes, duties, and government charges
  • UK VAT will be added to invoices for UK-based customers
  • For business customers: Provide a valid VAT number to potentially qualify for reverse charge

7.7 Account Suspension for Non-Payment

If your account becomes past due, we may suspend or terminate your access to MsgFlow. We will notify you before taking such action and provide an opportunity to update payment information.

8. Service Modifications and Termination

8.1 Service Changes

We reserve the right to:

  • Modify or discontinue any feature or functionality
  • Change pricing with 30 days' notice to existing subscribers
  • Impose usage limits or restrictions
  • Update these Terms (you will be notified of material changes)

8.2 Account Suspension or Termination

We may suspend or terminate your account immediately if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account is involved in fraudulent or illegal activity
  • You fail to pay subscription fees

  • Uninterrupted, error-free, or secure service

We do not warrant that MsgFlow will meet your requirements or that defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by law, MsgFlow and its officers, directors, employees, and agents shall not be liable for:

  • Loss of profits, revenue, data, or business opportunities

  • Unauthorized access to or alteration of your data

Our total liability for any claim arising from these Terms or your use of MsgFlow shall not exceed the amount you paid us in the 12 months prior to the event giving rise to liability, or $100 if you have not paid us.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless MsgFlow and its affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

  • Your use of MsgFlow
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you create, upload, or transmit through MsgFlow
  • Your breach of applicable laws or regulations

12. Dispute Resolution and Complaints

12.1 Informal Resolution

We are committed to resolving any disputes fairly and efficiently. If you have a complaint or dispute:

  • Step 1: Contact us at contact@msgflow.app with details of your concern
  • Step 2: We will acknowledge your complaint within 48 hours and aim to resolve it within 30 days
  • Step 3: If we cannot resolve the issue to your satisfaction, we will inform you of your right to pursue alternative dispute resolution

12.2 Alternative Dispute Resolution (ADR)

If we are unable to resolve a dispute informally, you may use an Alternative Dispute Resolution (ADR) service:

  • We are willing to participate in ADR or mediation before resorting to court proceedings
  • For consumer disputes, you may use the EU Online Dispute Resolution platform (if applicable) or contact Citizens Advice Consumer Service
  • ADR is voluntary, and neither party is obligated to participate

12.3 Court Proceedings

If a dispute cannot be resolved through informal resolution or ADR:

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MsgFlow regarding use of our service.

13.3 Severability
